Terms & Conditions

1. Introduction

These Terms and Conditions apply to all orders, quotations, transactions between Jam Hang Daat Co.,LTD (hereinafter “We / Us”) and all buyers, distributors, project purchasers (hereinafter “You”) via our official website https://xhdsofa.com. By submitting an inquiry, placing a deposit or issuing a formal order to us, you confirm that you fully accept all clauses below.

2. Quotation & Price Validity

1. All quotations are valid for 30 calendar days from the issue date. Prices will be adjusted automatically after expiry due to raw material, exchange rate or logistics fluctuations.
2. All prices quoted under FOB / EXW exclude ocean freight, destination customs duty, import tax, inland delivery, insurance and inspection fees unless otherwise stated in writing.
3. We reserve the right to adjust prices without prior notice if there is a sharp fluctuation of fabric, leather, timber or USD/HKD exchange rate.

3. Order & Deposit Rules

1. Formal order takes effect only after we receive your deposit. Standard deposit ratio: 30% of total order value. Mass hotel project orders may require separate deposit agreement.
2. After deposit payment, you confirm all details including sofa size, fabric color, leather grade, frame material, packaging, delivery port; no free modification is allowed once production starts.
3. Custom OEM/ODM orders (custom size, exclusive fabric, personalized logo) cannot be cancelled after raw material cutting. If you force cancellation, you shall compensate 30% of total amount for raw material and labor loss.

4. Production & Delivery

1. Production lead time refers to working days after deposit confirmed and all custom details finalized. Specific time refers to our Delivery Information page.
2. We will send production photos, pre-loading pictures for your confirmation before shipment.
3. Under FOB/EXW terms, the ownership and risk of goods transfer to you once cargo passes over the ship’s rail / leaves our cooperative factory. All sea transit, unloading, storage damage risks shall be borne by you.
4. We arrange shipment strictly following agreed schedule, but we shall not be liable for delay caused by force majeure: port congestion, typhoon, flood, factory power cut, customs inspection, carrier schedule adjustment.

5. Payment Terms

1. Standard payment term: 30% deposit upon order confirmation; 70% balance paid before loading / copy of Bill of Lading.
2. Acceptable payment methods: T/T wire transfer to our Hong Kong corporate bank account. We do not support credit card, PayPal for bulk wholesale orders.
3. All international bank transfer charges shall be undertaken by you. Any deduction from received amount will be deducted from your order balance.

6. Quality Inspection & After-sales

1. You may arrange third-party inspection company to check goods before loading; all inspection fees are at your cost.
2. Any quality claim must be submitted within 14 days after container arrival, with complete photos and video evidence. Claims overdue will not be accepted.
3. Our one-year structural warranty only covers factory manufacturing defects on wooden frame, spring and hardware. Damage from transportation, improper use, artificial stain, normal fabric aging is excluded, as stated in Refund & Returns Policy.

7. Intellectual Property

1. All original sofa designs, product pictures, catalogs, text content on our website are the intellectual property of Jam Hang Daat Co.,LTD. No unauthorized copying, reselling or commercial reproduction is allowed.
2. OEM orders with your private logo shall be solely used by you; we shall not sell the same customized style to other clients without your written permission.

8. Force Majeure

We shall not be held responsible for any failure or delay of performance caused by events beyond reasonable control, including but not limited to natural disasters, epidemic, war, government ban, port strike, supply chain shutdown. We will notify you promptly and negotiate rescheduling or partial refund under such circumstances.

9. Privacy

Your company name, contact info, order records are processed in accordance with our independent Privacy Policy. We will never sell or rent your business information to irrelevant third parties.

10. Governing Law & Dispute Resolution

All transactions are governed by the laws of Hong Kong Special Administrative Region. Any dispute arising from this contract shall first be resolved through friendly negotiation; if negotiation fails, disputes shall be submitted to Hong Kong International Arbitration Centre for arbitration.

11. Policy Update

We reserve the right to revise these Terms & Conditions at any time without advance written notice. All newly placed orders shall follow the latest version published on our official website.
